III. Business Start-up
If you currently conduct business as a sole proprietor or a partnership, you are personally responsible for debts of the business. Limited Liability Company interest owners, and S-Corporation shareholders have some protection from being personally liable for business debts.

Prior to coming in for an appointment, you should select a name for you company. The name of your business cannot be the same as the name of another business entity on file with the Secretary of State. Please give me a call, and I'll go over with you on where to check name availability.

The name of your business must contain the words "Limited Liability Company" or "Corporation" or the abbreviation "LLC" or "Inc."

Upon verifying the availability of your company name, I'll draft for your review and approval the Articles of Organization or Articles of Incorporation. They will be filed with the Colorado Secretary of State.

The company should also have an LLC operating agreement or S-Corporation bylaws that govern the operation of the business. The agreement should be custom tailored to fit your specific business goals.

After formation, I'll then give you detailed information on the proper way of operating and paper-trailing its' operation to support its separate entity status and how to go about observing the legally required business formalities, financial records, and the determinations of the business through what is called the minutes.
